2025 TERMS & CONDITIONS for Client Schools

Service Agreement

The Service Agreement (“Service Agreement”) between KIDS READ NOW, INC., a 501(c)(3) non-profit company, and the school/school district, hereafter referred to as CLIENT. The signed Service Agreement and these Terms and Conditions and Addendums together incorporate the responsibilities of both parties.

Program Features

The Kids Read Now Program Overview denotes specific features included with each program version. Features and elements are subject to revision as KRN strives to enhance its services and effectiveness. This program is intended to deliver new books-to-keep to your students’ homes. Given uncertainties in the supply chain, delays may be possible, and substitutions may be made with similar genres and reading levels for unavailable books.

General Conditions

  1. Payment Terms:
    1. Timing of payment: Client will remit payment to KRN by the payment date listed on their Service Agreement. Late payments incur a 1% per month late charge and forfeit early payment incentives.
    2. Student count adjustments: Adjustments will be made if enrollment is ±4% from the committed numbers in the Service Agreement. Credits or additional invoices will be issued as applicable. Carried-over balances must be used within three years.
  2. Term of Service Agreement: The agreement begins upon signing and continues for the agreed-upon duration. Early termination is allowed under certain conditions, such as fiscal emergencies.
  3. Renewal Process: Unless early termination is requested, a KRN Account Manager will contact the District by October 15th to discuss renewal. Changes to the agreement, including student count or payment dates, must be communicated by January 31st of the upcoming summer.
  4. Data-Sharing Options:
    1. The Client will provide KRN with a CSV file during the enrollment period, including directory information for each eligible student. Student guardians may voluntarily provide non-directory information in accordance with FERPA standards.
    2. If the Client participates in KRN’s research study, KRN will be considered a “school official” under FERPA and related laws, performing institutional services. The Client must disclose necessary records to KRN without prior parental consent, and KRN will comply with FERPA redisclosure restrictions. KRN will support the Client in allowing parents and eligible students to inspect, review, or amend education records as required.
  5. Data Security and Confidentiality: KRN will maintain student data security and confidentiality in compliance with FERPA standards. From 2025, KRN will also be SOC-2 compliant, adhering to security, availability, processing integrity, confidentiality, and privacy standards.

Adherence to Program Timeline and Responsibilities

KRN will provide a program timeline based on the Client’s last day of school. Both parties must adhere to the timeline to avoid delays or additional charges. The Client is responsible for completing onboarding documents, training, and enrollment by agreed deadlines.

Limitation of Liability

KRN will not be liable for any consequential, indirect, or incidental damages, including lost profits or revenues. Aggregate liability will not exceed the total amount paid to KRN in the one-year period preceding the dispute.

Force Majeure

KRN will not be responsible for delays or failures caused by conditions beyond its control, including natural disasters, government actions, pandemics, power failures, strikes, and acts of terror.

Severability

If any provision of the Service Agreement is held invalid, the remaining provisions will remain effective.

Governing Law

The rights and obligations of the parties will be governed by the laws of the Client’s state, without regard to conflict of laws principles.

Complete Agreement

This Service Agreement, including all terms, addendums, and modifications, constitutes the entire agreement between the parties and supersedes prior agreements or understandings. Changes must be made in writing and signed by both parties.
